If you do not accept the terms from the Agreement, press the "Decline" button and do not download the Software. -------------- PIXEL RIBS SOFTWARE LICENSE AGREEMENT This is a legal agreement ( the "Agreement" ) between You ( either an individual or an entity ) and Pixel Ribs d.o.o. ( "PIXEL RIBS" ). By installing the computer software in this package ( "SOFTWARE" ), by loading or running the SOFTWARE, or by placing or copying the SOFTWARE onto Your computer hard drive, You are agreeing to be bound by the terms of this Agreement. SOFTWARE means: (i) installer of the software, (ii) all files and components of the software, (iii) documentation, and (iv) the serial number ( "Serial Number" ). 1. GRANT OF LICENSE. PIXEL RIBS hereby grants You a nonexclusive license to install and use the SOFTWARE on a single computer for use by a single individual. You may also make a reasonable number of copies of the SOFTWARE solely for backup purposes, provided that You reproduce all copyright and other proprietary notices that are on the original copy of the SOFTWARE. 2. COPYRIGHT. The SOFTWARE is owned by PIXEL RIBS and is protected by Croatian copyright laws and International Treaty provisions. You must treat the SOFTWARE like any other copyrighted material. You may not copy the SOFTWARE, except as set forth in the "GRANT OF LICENSE" section of this Agreement. Also, You may not modify, translate, disassemble, decompile, reverse engineer, or otherwise attempt to discover the source code of the SOFTWARE, or any part thereof. You may not create derivative works based upon the SOFTWARE, or any part thereof. 3. TRANSFER. You may not rent, lease, lend, loan, sublicense, resell for profit, distribute, network, or reproduce the SOFTWARE, or any part thereof. However, You may transfer all Your rights to use the SOFTWARE on a permanent basis to another person or legal entity provided (1) that You transfer this Agreement, the SOFTWARE, including all copies, updates and prior versions to such person or entity, (2) that You retain no copies, including copies stored on a computer, and (3) that the recipient agrees to the terms of this Agreement. 4. TERMINATION. This Agreement shall continue until terminated. You may terminate the Agreement at any time by destroying the SOFTWARE and accompanying documentation together with all copies, modifications and merged portions in any form. This license also will terminate automatically if You violate any terms of the Agreement. Upon such termination You must promptly destroy the SOFTWARE and accompanying documentation together with all copies, modifications and merged portions in any form. 5. LIMITED WARRANTY. PIXEL RIBS warrants that if properly installed and used, the SOFTWARE will perform substantially in accordance with the accompanying documentation for a period of ninety ( 90 ) days from the date of receipt. 6. REMEDIES. The entire liability of PIXEL RIBS and Your exclusive remedy under the warranty provided herein will be, at PIXEL RIBS' option, (1) to attempt to correct or work around errors, (2) to replace the media, or (3) to refund the purchase price and terminate this Agreement. This remedy is subject to return of the SOFTWARE to PIXEL RIBS or to the authorized PIXEL RIBS dealer from whom it was obtained with a copy of your receipt. This Limited Warranty is void if failure of the SOFTWARE has resulted in whole or in part from accident, abuse, misapplication or violation of this Agreement. 7. NO OTHER WARRANTY. EXCEPT FOR THE LIMITED WARRANTY STATED ABOVE, THE SOFTWARE AND ACCOMPANYING DOCUMENTATION ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESSED OR IMPLIED AND THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, TITLE AND FITNESS FOR A PARTICULAR PURPOSE ARE SPECIFICALLY DISCLAIMED. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE AND ACCOMPANYING DOCUMENTATION IS WITH YOU. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. No oral or written information or advice given by PIXEL RIBS or anyone else will create a warranty or in any way increase the scope of the limited warranties set forth herein, and You may not rely on any such information or advice. SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY. THIS WARRANTY PROVIDES SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE. 8. LIMITATION OF LIABILITY. IN NO EVENT WILL PIXEL RIBS BE LIABLE FOR ANY LOSS OF DATA, CONSEQUENTIAL, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, ACCOMPANYING DOCUMENTATION OR CONTENT, EVEN IF PIXEL RIBS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY OTHER CLAIM BY ANY OTHER PARTY. The foregoing limitations of liability shall apply notwithstanding any failure of essential purpose of any limited remedy or any claim by any other party. PIXEL RIBS' liability to You or any third party arising out of or related to this Agreement however caused and on any theory of liability, whether in contract, tort ( including negligence ), or otherwise will not exceed the fee paid by You for the SOFTWARE, as applicable. SOME STATES MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO ALL OR A PORTION OF THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY. 9. INDEMNITY. You agree to defend and indemnify PIXEL RIBS against all claims, losses, liabilities, damages, costs and expenses, including attorney's fees, which PIXEL RIBS may incur in connection with Your breach of this Agreement. 10. GENERAL. The SOFTWARE is a "commercial item". This Agreement is governed and interpreted in accordance with the laws of the Republic of Croatia without giving effect to its conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods is expressly disclaimed. Any claim arising out of or related to this Agreement must be brought exclusively in a federal or state court located in Republic of Croatia and You consent to the jurisdiction of such courts. If any provision of this Agreement shall be invalid, the validity of the remaining provisions of this Agreement shall not be affected. This Agreement is the entire and exclusive agreement between PIXEL RIBS and You with respect to the SOFTWARE and supersedes all prior agreements ( whether written or oral ) and other communications between PIXEL RIBS and You with respect to the SOFTWARE.
